Terms of Service

1. Acceptance of these Terms

Plenum is a product of by Nu, based at Ueberlandstrasse 1, 8600 Dübendorf, Switzerland (referred to as "by Nu", "we", or "us").

By accessing or using Plenum, you agree to be bound by these Terms of Service (the "Terms"). If you are using Plenum on behalf of a legal entity, you represent that you have the authority to bind that entity to these Terms. If you do not agree to these Terms, you may not use Plenum.

2. The Service

Plenum is event-management software that runs natively on your HubSpot account. It is designed for associations and B2B marketing and event teams. With Plenum, you can plan, manage, and run events by reading and writing data within your own HubSpot account.

An active, separately held HubSpot account is required to use Plenum. The Marketing Events feature is included on all HubSpot plans. The connection between Plenum and HubSpot is established via an OAuth authorisation granted by the customer. Plenum cannot be used without an active HubSpot account.

Plenum's infrastructure is hosted by Infomaniak Network SA in Switzerland. Data remains in Switzerland, and each tenant is isolated from others.

3. Accounts and Eligibility

Plenum is intended solely for commercial or professional use. By registering, you confirm that you are acting on behalf of a company, association, or other organisation and not as an individual consumer.

You must provide complete and accurate information when registering. You are responsible for keeping your credentials confidential and for all activity that occurs under your account. Please report any suspected incident or unauthorised use to us immediately at hello@bynu.ch.

The individual who connects Plenum to a HubSpot account represents and warrants that they have the required authority to authorise Plenum to access that HubSpot account and that doing so complies with internal policies and the HubSpot terms of service.

4. Subscriptions, Pricing and Billing

Plenum is offered as a subscription in the following tiers. All prices are exclusive of Swiss VAT (MWST):

• Starter: CHF 49 per month (monthly billing)
• Growth: CHF 149 per month (monthly billing)
• Enterprise: custom pricing, contact us at hello@bynu.ch

Annual billing is available at a flat rate of 10 times the monthly fee for the applicable tier, equivalent to two months free. All subscriptions renew automatically for the chosen billing period unless cancelled before the end of the current period.

Cancellations take effect at the end of the current billing period. Amounts already paid for a running period are generally non-refundable, unless applicable law requires otherwise. Price changes will be communicated with reasonable advance notice.

5. Customer Data and HubSpot

Data stored in your HubSpot account remains your property. By Nu makes no claim to that data. By connecting Plenum to your HubSpot account, you instruct and authorise by Nu to access, read, and write defined objects in your HubSpot account to the extent necessary to operate Plenum.

The processing of personal data is governed by Swiss data protection law (revised FADP/DSG) and is set out in our Privacy Policy and, where applicable, in a separate data-processing agreement.

6. Acceptable Use

You agree to use Plenum only for lawful purposes and in accordance with these Terms. In particular, the following are prohibited:

• Using Plenum for unlawful, misleading, or harmful purposes
• Abusing the infrastructure or circumventing technical usage limits
• Violating the terms of service of HubSpot Inc. or other third-party providers
• Accessing data belonging to third parties without appropriate authorisation
• Introducing malware or disruptive content

Violations of these principles may result in immediate suspension or termination of your account.

7. Intellectual Property

Plenum, including its software, trademarks, logos, documentation, and all associated intellectual property rights, is owned by or licensed to by Nu. These Terms do not grant you any rights in the intellectual property of by Nu except as expressly stated herein.

Your own data, content, and trademarks remain your property. By Nu claims no ownership rights over them.

8. Third-Party Services

Plenum relies on third-party services, in particular HubSpot Inc. as the CRM platform and Infomaniak Network SA as the hosting provider. These providers are legally and economically independent of by Nu and are subject to their own terms of service and privacy policies.

Your contract with HubSpot exists directly between you and HubSpot Inc. By Nu is not responsible for the availability, performance, or actions of these third-party services and accepts no liability for damage arising from the use or unavailability of such services.

9. Availability, Warranties and Disclaimer

By Nu makes reasonable efforts to provide Plenum reliably and with high availability. However, no guarantee is given for uninterrupted or error-free operation. Plenum is provided "as is" and "as available".

To the fullest extent permitted by Swiss law, by Nu disclaims all express and implied warranties, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

Planned maintenance windows will be communicated in advance where possible. We reserve the right to modify, restrict, or discontinue features and will provide reasonable advance notice of material changes.

10. Limitation of Liability

To the fullest extent permitted by Swiss law, by Nu's liability for indirect damages, consequential damages, loss of profit, or data loss is excluded. By Nu's total liability arising out of or in connection with these Terms is limited to the amount you have paid by Nu in the twelve months preceding the event giving rise to the claim.

These limitations do not apply in cases of intentional misconduct or gross negligence by by Nu, or where applicable law does not permit such a limitation.

11. Term and Termination

These Terms apply from the date of your registration and remain in force until the subscription is terminated by either party. You may cancel your subscription at any time via the settings in your account. By Nu may terminate the subscription with reasonable notice or immediately in the event of a material breach of these Terms.

Upon termination of the subscription or disconnection of the HubSpot integration, Plenum will immediately cease accessing your HubSpot account and will delete the stored OAuth tokens. Further handling of your data is governed by the Privacy Policy.

12. Changes to these Terms

By Nu reserves the right to update these Terms at any time. For material changes, we will notify you with reasonable advance notice by email or via an in-app notification. Continued use of Plenum after the changes take effect constitutes your acceptance of the revised Terms.

13. Governing Law and Jurisdiction

These Terms are governed by Swiss law, excluding its conflict-of-law rules and the United Nations Convention on Contracts for the International Sale of Goods (CISG). The exclusive place of jurisdiction for disputes arising out of or in connection with these Terms is Dübendorf, Canton of Zürich, subject to mandatory statutory jurisdiction provisions.
